11) Warranty and Limitation of Liability of Lana al Pascolo11.1 The warranty regime for products sold by Lana al Pascolo differs depending on whether the purchaser is a “consumer” or a “professional” within the meaning of Directive 1999/44/EC concerning certain aspects of the sale of consumer goods and associated guarantees.
If the Customer purchases as a “consumer”, they benefit from the statutory legal guarantee of conformity that the seller is required by law
legal guarantee of conformity that the seller is required by law to provide for all goods sold (the “Legal Warranty”).
11.2 The Legal Warranty covers lack of conformity arising within 24 months of purchase.
11.3 Under applicable law, where the Legal Warranty applies, the Customer is entitled to have the goods brought into conformity free of charge by repair or replacement, or, where this is not possible, to a reduction in the purchase price or termination of the contract. Lana al Pascolo is liable for lack of conformity where it arises within two years from the date of delivery. In any case, the Customer must report the lack of conformity within two months of discovering it.
11.4 To the extent permitted by law, Lana al Pascolo declines all liability where the delivered product does not comply with the legislation of the country of delivery other than Italy.
11.5 Lana al Pascolo shall not be liable for non-material differences between the purchased goods and the illustrative images and/or text descriptions published on the Website.
11.6 Except in cases of wilful misconduct or gross negligence, Lana al Pascolo shall be liable only for direct and foreseeable damage at the time the sales contract is concluded. It shall therefore not be liable for any losses suffered, loss of profit, or any other damage that is not the immediate and direct consequence of its breach or that was not foreseeable at the time the sales contract was concluded.
11.7 Definition of the Legal Warranty:
The Legal Warranty is the statutory guarantee – which applies by right only to the consumer, i.e. someone purchasing products for non-professional or non-business purposes – on the sale of consumer goods provided for by Directive 1999/44/EC, also known as the “guarantee of conformity”. It protects you where products you purchase show a lack of conformity with the sales contract (“Legal Warranty”).
This includes products that do not work properly, cannot be used as declared by the seller or for the purposes for which goods of the same type are generally used, do not have the characteristics or quality promised by the seller, or are not fit for the use for which you purchased them.
The Legal Warranty covers lack of conformity that becomes apparent within 24 months from the delivery date of the purchased product, even if the defect was not immediately detectable on that date. To rely on it, the Customer must inform the seller of the defect within two months of discovering it.
Unless proven otherwise, lack of conformity that becomes apparent within the first six months from delivery is presumed to have existed at the time of delivery, unless that presumption is incompatible with the nature of the goods or the nature of the lack of conformity.
If the purchased product has a defect covered by the Legal Warranty, the Customer is entitled, without incurring any expense, to repair or replacement by the seller. The Customer is entitled to a price reduction or termination of the contract in the following cases: (a) if replacement or repair is impossible or excessively onerous; (b) if the seller has not carried out repair or replacement within a reasonable period of time; or (c) if replacement or repair has caused significant inconvenience. The amount of any price reduction will take into account the use made of the product.
12) ConfidentialityLana al Pascolo and the Customer mutually undertake to treat as confidential any data or information known or handled in relation to the activities for performance of the service provided by Lana al Pascolo.
13) Express Termination ClauseThis contract shall be automatically terminated pursuant to and for the purposes of Article 1456 of the Italian Civil Code, where the Customer:
a) assigns all or part of the contract to third parties without complying with the procedures set out by Lana al Pascolo;
b) has previously been, or is, in breach towards Lana al Pascolo on any basis, including for services other than those covered by this contract;
c) fails to pay the required amount;
d) has been declared insolvent or has been admitted to or is subject to insolvency proceedings;
e) breaches the provisions set out in Articles 10 and 11 of these General Terms and Conditions.
In the above cases, termination shall take effect by unilateral declaration by Lana al Pascolo, to be sent by registered letter with return receipt (raccomandata A.R.), ordinary email (PEO) or certified email (PEC) to the Customer at one of the contact details provided. In such cases, the Customer acknowledges and accepts that sums paid shall be retained by Lana al Pascolo as a contractual penalty, without prejudice to compensation for any greater loss, and the Customer may not claim any refund, indemnity and/or damages. It is understood that the above termination by operation of law applies without prejudice to other grounds for termination and, more generally, to any other remedies available under law, including actions to recover any damages suffered by Lana al Pascolo.
14) Withdrawal14.1 As a general rule, the Customer may not withdraw from the contract, except as expressly provided in Article 14.2 below. In the event of unlawful cancellation, withdrawal or termination by the Customer, Lana al Pascolo is hereby authorised to retain sums paid up to that point as a contractual penalty, without prejudice to compensation for any greater loss.
14.2 A Customer who qualifies as a “consumer”, identified pursuant to Article 3 of Legislative Decree 206/2005 (the “Consumer Code”) as a natural person acting for purposes outside their business or professional activity, has the right to withdraw from the order without giving any reason within 14 days from the day on which they receive the ordered product (or the last product, batch or item in the case of goods delivered separately in multiple lots/pieces) or from conclusion of the contract.
To exercise the right of withdrawal, the relevant notice must be sent before expiry of the 14-day period and the product must be returned to Lana al Pascolo at the address indicated in these General Terms and Conditions.
Lana al Pascolo will refund all payments received in relation to the product for which the Customer has exercised the right of withdrawal, including shipping costs relating to the least expensive delivery option, within 14 days from the day on which Lana al Pascolo receives the notice of withdrawal. The refund will be made using the same payment method used for the order, unless the Customer has expressly agreed otherwise. In any event, the Customer will not incur any costs as a result of the refund.
The Customer must return the products within 14 days from the day on which they communicated withdrawal and must bear the direct costs of returning the products. The Customer may be held liable for any diminished value of the goods resulting from handling (other than what is necessary to establish the nature, characteristics and functioning of the goods).
14.3 Lana al Pascolo reserves the right to withdraw from the Contract at any time without providing reasons, by giving written notice to the Customer with at least 15 (fifteen) days’ notice, by registered letter with return receipt, ordinary email
(PEO) or certified email (PEC), except in the event of force majeure, in which case Lana al Pascolo reserves the right to withdraw with immediate effect. As a consequence, Lana al Pascolo will be required to refund the Customer solely the total product price. Any other refund, indemnity, damages or liability of Lana al Pascolo in relation to the exercise of the right of withdrawal is expressly excluded.
15) Electronic LogThe Customer expressly acknowledges and accepts the existence of the connection log register (LOG – data relating to internet traffic), compiled and stored by Lana al Pascolo within the time limits and in the manner required by law. 16.2 The relationship between Lana al Pascolo and the Customer under these General Terms and Conditions shall not be construed as a mandate, agency, representation, partnership, association or any similar or equivalent arrangement.
16.3 Any breach or behaviour by the Customer inconsistent with these General Terms and Conditions shall in no case be considered a waiver or tacit acceptance of such breaches, even if not contested by Lana al Pascolo. Any failure by Lana al Pascolo to exercise or enforce any right or clause of the Contract shall not constitute a waiver of such rights or clauses.
16.4 All communications to the Customer relating to this contractual relationship may be made by Lana al Pascolo by hand, by email (certified or otherwise), by registered letter with return receipt, by ordinary post or by fax to the contact details provided by the Customer at the time of ordering; accordingly, such communications shall be deemed known to the Customer. Any communications that the Customer intends to send to Lana al Pascolo relating to this contract must be sent to the contact details indicated in this Contract.
